Reservation Fee is non-refundable and non-transferrable, and any transfer made without the express written approval of the Seller shall be void and shall be a cause for cancellation of Reservation Agreement; provided, that transfer to spouse/s, relative/s up to 2nd degree of consanguinity, or to a corporation where the buyer/s is/are a/are stockholder/s or member/s, as the case may be, may be allowed upon express written approval of the Seller, and in accordance with the latter’s existing policies and requirements.
Further, in the event of the following:
a. Failure on Buyer’s part to execute and deliver the prescribed Contract to Sell and/or Deed of Absolute Sale for the Property within the Reservation Period;
b. Failure on Buyer’s part to pay any of the amounts due under the Approved Payment Scheme;
c. Failure to comply with any of the terms of Buyer’s purchase;
d. Failure to submit any required document prescribed by the Seller; or-
e. Withdrawal on Buyer’s part from this Reservation Agreement for any reason whatsoever,
- then the Seller shall have the option to cancel the sale, and -
a. The Buyer/s agree that this Reservation Agreement shall be deemed terminated without need of further act or notice from the Seller, and that the Reservation Fee shall be forfeited in favor of the Seller;
b. The Buyer/s shall have no further right to purchase the Property;
c. Thereafter, the Seller shall have no further obligation to the Buyer/s, and will hold the Seller free and harmless from any liability for offering and/or disposing the Property to other interested buyers as if this Reservation Agreement had not been executed.
In case that the Property is found to be unavailable for sale to the Buyer/s due to technical reasons or due to prior sale commitment or transaction to or with another party, the same offered to the Buyer/s by mistake or inadvertence, the Buyer/s agree to have the Property exchanged with an available lot/unit/lot and unit, as may be applicable, of equal area or value, or to the cancellation of this Reservation Agreement, subject to the reimbursement of all payments made by reason of such reservation, without interest.
Notwithstanding the occurrence of fortuitous events causing loss or damage to any part of the Project including, but not limited to, roads, facilities, utilities and other works located therein, the Buyer/s obligation to pay Total Contract Price according to the Approved Payment Scheme and to pay regular dues to the association shall subsist. The occurrence of such fortuitous events shall not be a ground for cancellation of the Contract, refund of the purchase price, or buyer/s transfer to another property.
All contracts are deemed transacted in the Philippines and are in Philippine Peso (Php).
